1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of services provided by Naulage ("we," "us," or "our"), including:
Educational programs and coaching services (including the 90-Day Client Acquisition Accelerator)
Software as a Service (SaaS) platform (Naulage.co)
Agency services for client acquisition and marketing automation (Naulage.com)
Digital products, courses, and related materials
By purchasing, accessing, or using any of our services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.
2. Services Overview
2.1 Coaching and Educational Programs
We offer coaching programs, training courses, webinars, and educational content designed to help coaches, consultants, and service providers acquire clients and scale their businesses.
2.2 SaaS Platform
Our software platform provides marketing automation, CRM functionality, funnel building tools, and related features on a subscription basis.
2.3 Agency Services
We provide done-for-you and done-with-you client acquisition services, including funnel creation, media buying, and marketing automation setup.
3. Enrollment and Payment Terms
3.1 Payment
All prices are listed in USD unless otherwise specified
Payment is due in full at the time of purchase unless a payment plan is explicitly offered
We accept major credit cards and other payment methods as displayed at checkout
Payment plans, when available, require adherence to the agreed-upon payment schedule
Failure to make scheduled payments may result in immediate suspension of access to services
3.2 Refund Policy
Coaching and Educational Programs:
We do not offer refunds on digital products due to the nature of the product
SaaS Platform:
Monthly subscriptions may be cancelled at any time with no refund for the current billing period
Annual subscriptions are non-refundable after 30 days from the initial purchase date
No refunds for partial months of service
Agency Services:
Custom agency work is non-refundable once work has commenced
Deposits are non-refundable
If you are unsatisfied with deliverables, we will work with you to resolve concerns within the scope of the original agreement
3.3 Payment Plan Default
If you default on a payment plan:
Your access to services will be immediately suspended
You remain liable for the full amount owed
We reserve the right to pursue collection of outstanding balances
A failed payment fee of $50 may be applied for each declined transaction
4. Access and Account Terms
4.1 Account Creation
You must provide accurate, current, and complete information during registration
You are responsible for maintaining the confidentiality of your account credentials
You agree to notify us immediately of any unauthorized use of your account
You must be at least 18 years of age to use our services
4.2 License Grant
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for your personal or business use in accordance with these Terms.
4.3 Restrictions
You may not:
Share your login credentials with others
Resell, redistribute, or commercially exploit our content or services
Copy, modify, or create derivative works of our proprietary materials
Use our services for any illegal purpose
Reverse engineer or attempt to extract source code from our software
5. Intellectual Property
5.1 Our Property
All content, materials, software, trademarks, and intellectual property provided through our services remain our exclusive property. This includes but is not limited to:
Course materials, videos, and training content
Software code and platform functionality
Templates, scripts, and frameworks
Branding and marketing materials
5.2 Your Content
If you submit content to our platforms (testimonials, case studies, feedback), you grant us a perpetual, worldwide, royalty-free license to use, reproduce, modify, and display such content for marketing and promotional purposes.
6. Results Disclaimer
6.1 No Guaranteed Results
We provide educational content, tools, and services to help you build and grow your business. However:
We make no guarantees regarding specific income, results, or outcomes
Your results depend on numerous factors including your effort, experience, market conditions, and business model
Testimonials and case studies represent exceptional results and are not typical
Past performance does not guarantee future results
6.2 Your Responsibility
Success in business requires dedication, effort, and proper execution. You are solely responsible for:
Implementing strategies and tactics taught in our programs
Making sound business decisions
Complying with all applicable laws and regulations
Managing your business operations and finances
7. SaaS Platform Specific Terms
7.1 Service Availability
We strive for 99.9% uptime but do not guarantee uninterrupted access
Scheduled maintenance will be announced when possible
We are not liable for any losses resulting from service interruptions
7.2 Data and Security
You retain ownership of all data you input into the platform
We implement industry-standard security measures to protect your data
You are responsible for maintaining regular backups of your data
We reserve the right to remove content that violates these Terms
7.3 Subscription Terms
Subscriptions automatically renew unless cancelled at least 24 hours before the renewal date
You will receive notice of upcoming renewals
Price changes will be communicated at least 30 days in advance
Continued use after price changes constitutes acceptance
7.4 Account Termination
We reserve the right to suspend or terminate your account if:
You violate these Terms
Your account is used for illegal activities
You engage in abusive behavior toward our team or other users
Payment obligations are not met
8. Agency Services Specific Terms
8.1 Scope of Work
All agency services are defined in a separate Statement of Work or Service Agreement
Changes to scope may result in additional fees
Timelines are estimates and subject to change based on client responsiveness and external factors
8.2 Client Responsibilities
You agree to:
Provide timely feedback and approvals
Supply necessary access to accounts, platforms, and materials
Respond to requests for information within reasonable timeframes
Comply with advertising platform policies
8.3 Media Buying and Advertising
You are responsible for all advertising costs charged by third-party platforms (Facebook, Google, etc.)
We do not guarantee specific advertising performance metrics (CPL, CPA, ROAS)
Ad account suspension or bans by platforms are outside our control
You must comply with all platform advertising policies
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC SERVICE IN QUESTION IN THE 12 MONTHS PRECEDING THE CLAIM
WE ARE NOT LIABLE FOR LOSSES RESULTING FROM: SERVICE INTERRUPTIONS, DATA LOSS, THIRD-PARTY ACTIONS, ADVERTISING PLATFORM ISSUES, OR YOUR BUSINESS DECISIONS
10. Indemnification
You agree to indemnify, defend, and hold harmless Naulage, its owners, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
Your use of our services
Your violation of these Terms
Your violation of any third-party rights
Your business operations and marketing activities
11. Third-Party Services
Our services may integrate with or reference third-party platforms (GoHighLevel, payment processors, advertising platforms, etc.). We are not responsible for:
The availability or performance of third-party services
Changes to third-party terms, pricing, or features
Data security or privacy practices of third parties
Actions taken by third-party platforms (account suspensions, policy changes)
12. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be:
Posted on our website with an updated "Last Updated" date
Effective immediately for new users
Effective 30 days after posting for existing users
Continued use of services after changes constitutes acceptance
13. Cancellation and Termination
13.1 Your Right to Cancel
You may cancel SaaS subscriptions at any time through your account settings
Coaching programs may be cancelled subject to the refund policy in Section 3.2
Agency services cancellation terms are specified in your Service Agreement
13.2 Our Right to Terminate
We may terminate your access immediately if you:
Violate these Terms
Engage in fraudulent activity
Abuse our services or team members
Fail to pay amounts owed
13.3 Effect of Termination
Upon termination:
Your access to services will be revoked
You remain liable for any outstanding payments
Provisions regarding intellectual property, liability, and indemnification survive termination
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles.
14.2 Arbitration
Any disputes arising from these Terms or our services shall be resolved through binding arbitration in Ontario, Canada, rather than in court, except that you may assert claims in small claims court if they qualify.
14.3 Class Action Waiver
You agree to resolve disputes with us on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.
15. General Provisions
15.1 Entire Agreement
These Terms constitute the entire agreement between you and Naulage regarding our services and supersede all prior agreements.
15.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
15.3 No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
15.4 Assignment
You may not assign or transfer your rights under these Terms. We may assign our rights without restriction.
15.5 Force Majeure
We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control.
